Welcome to TripProspect! These Terms of Service ("Terms") govern your access to and use of our service. By using TripProspect, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using TripProspect, you agree to these Terms and our Privacy Policy. If you're using TripProspect on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use our service.

2. Description of Service

TripProspect provides software for travel advisors to:

• Create and manage travel itineraries
• Import booking confirmations via email
• Organize client relationships
• Share itineraries with clients via secure portals
• Manage bookings and travel documents

We may update, modify, or discontinue features at any time. We'll provide reasonable notice for significant changes affecting paid features.

3. Account Registration

Eligibility

You must:

• Be at least 18 years old
• Be a travel industry professional or organization
• Provide accurate and complete registration information
• Maintain and update your account information

Account Security

You are responsible for:

• Maintaining the confidentiality of your password
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

We strongly recommend enabling two-factor authentication (2FA).

4. Acceptable Use

You agree NOT to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Upload malicious code or viruses
• Attempt to gain unauthorized access to our systems
• Reverse engineer or decompile our software
• Scrape or harvest data from our service
• Use the service for spam or unsolicited communications
• Impersonate others or provide false information
• Interfere with or disrupt the service
• Share your account credentials with others
• Use the service to compete with TripProspect

Violation of these terms may result in immediate account suspension or termination.

5. Subscription & Payment

Billing

• Free Trial: 7 days, no credit card required
• Monthly Plans: Billed monthly in advance
• Annual Plans: Billed annually in advance (20% savings)
• Founding Member: Locked-in pricing for life

Payment Terms

• Payment is due immediately upon subscription
• We use Stripe for secure payment processing
• You authorize us to charge your payment method automatically
• Prices are in USD unless otherwise stated
• All fees are non-refundable except as required by law or our 30-day guarantee

Renewals & Cancellations

• Subscriptions renew automatically unless cancelled
• Cancel anytime from your account settings
• Cancellation takes effect at the end of your billing period
• No partial refunds for unused time (except 30-day guarantee)
• You retain access to paid features until the end of your billing period

30-Day Money-Back Guarantee

If you're not satisfied within 30 days of your first payment, contact us for a full refund. This applies to your initial subscription only, not renewals.

Price Changes

We may change our pricing with 30 days' notice. Changes won't affect your current billing cycle. Founding Members are locked in at their original price forever.

6. Your Content

Ownership

You retain all rights to the content you create or upload ("Your Content"). This includes itineraries, client data, documents, and media.

License to TripProspect

By using our service, you grant us a limited license to host, store, process, and display Your Content solely to provide and improve our service. This license ends when you delete Your Content or close your account.

Responsibility

You are responsible for:

• The accuracy and legality of Your Content
• Obtaining necessary rights and permissions
• Ensuring Your Content doesn't violate these Terms
• Backing up important data (we provide export tools)

Prohibited Content

Your Content must not:

• Violate any laws or regulations
• Infringe intellectual property rights
• Contain malware or malicious code
• Include hate speech, harassment, or discrimination
• Contain explicit or illegal material

7. Intellectual Property

TripProspect and all related content, features, and functionality are owned by TripProspect, Inc. and protected by copyright, trademark, and other laws. This includes:

• Software code and architecture
• User interface design
• Logos and branding
• Documentation and tutorials

You may not copy, modify, distribute, or reverse engineer any part of our service without written permission.

8. Data & Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your data. By using TripProspect, you also agree to our Privacy Policy.

Data Security

We implement industry-standard security measures, but no system is 100% secure. You agree that:

• We are not liable for unauthorized access beyond our control
• You will maintain secure passwords and access controls
• You are responsible for backing up critical data

9. Third-Party Services

TripProspect integrates with third-party services (email providers, payment processors, etc.). Your use of these services is subject to their own terms and policies. We are not responsible for third-party services.

10. Service Level & Availability

We strive for 99.9% uptime but cannot guarantee uninterrupted service. We may experience downtime for:

• Scheduled maintenance (with advance notice)
• Emergency maintenance
• Events beyond our control (force majeure)

We provide no warranties regarding uptime, availability, or performance.

11. Termination

By You

You may cancel your subscription anytime. You'll retain access until the end of your billing period. After cancellation, you can still export your data for 90 days.

By Us

We may suspend or terminate your account if:

• You violate these Terms
• Your payment fails (after notice)
• We're required to do so by law
• We discontinue the service (with 60 days' notice and pro-rated refund)

Effect of Termination

Upon termination:

• Your access to the service ends immediately
• You have 90 days to export your data
• We may delete your data after 90 days
• Some provisions of these Terms survive termination

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We disclaim all warranties including:

• Merchantability and fitness for a particular purpose
• Non-infringement
• Accuracy, reliability, or completeness
• Error-free or uninterrupted operation
• Security or data loss prevention

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRIPPROSPECT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE.

Our total liability to you for all claims is limited to the amount you paid us in the 12 months before the claim.

Some jurisdictions don't allow these limitations, so they may not apply to you.

14. Indemnification

You agree to indemnify and hold harmless TripProspect from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the service
• Your violation of these Terms
• Your violation of any rights of others
• Your Content

15. Dispute Resolution

Informal Resolution

If you have a dispute, please contact us first at support@tripprospect.com. We'll work in good faith to resolve it.

Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

Arbitration

Any disputes will be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except you may bring claims in small claims court if they qualify.

Class Action Waiver

You agree to resolve disputes individually, not as part of a class or collective action.

16. Changes to These Terms

We may update these Terms from time to time. We'll notify you of material changes by:

• Email to your registered address
• Prominent notice in the app
• Updating the "Last updated" date above

Continued use of TripProspect after changes constitutes acceptance. If you don't agree, you must stop using the service and cancel your subscription.

17. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TripProspect.

Severability

If any provision is found unenforceable, the remaining provisions continue in effect.

Waiver

Our failure to enforce any right doesn't waive that right.

Assignment

You may not assign these Terms without our consent. We may assign them without restriction.

Force Majeure

We're not liable for delays or failures due to circumstances beyond our reasonable control.
